Use of KALViCK's Software

Any use of software and accompanying documentation you download or avail or purchase from the KALViCK is subject to a software license agreement between you and KALVICK.

GRANT OF LICENSE TO USE THE KALViCK SOFTWARE PRODUCT: By installing, copying or otherwise using KALViCK software, you agree to be bound by the terms of this end-user license agreement (EULA). If you do not agree to the terms of this end-user license agreement (EULA), do not install, copy or use the software. Using any part of the software indicates that you accept these terms. The software is licensed, not sold. This end-user license agreement (EULA) only gives you some rights to use the software. KALViCK reserves all other rights. You must treat this software like any other copyrighted material. You shall use the software only as expressly permitted in this end-user license agreement (EULA). This EULA grants you a personal, non-transferable, and non-exclusive right to use the SOFTWARE PRODUCT on a single CPU/computer system only unless explicitly stated other wise by KALViCK, in writing. Except as expressly provided by KALVICK in writing for an EXISTING LICENSE, you may not arbitrarily copy, demonstrate, deploy, reproduce, publish, license, post, transmit, distribute, lend, rent, lease or loan the SOFTWARE PRODUCT in whole or part without the express written authorisation of KALViCK and your non-compliance of any of the aforesaid activities will be deemed a breach of this EULA and is expressly prohibited by law and would result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible

REVERSE ENGINEERING: You may not reverse engineer, de-compile, or disassemble the SOFTWARE PRODUCT in whole or in part; nor shall you attempt to recreate the source code from the object code of the SOFTWARE PRODUCT. Any other activity regarding the form or substance of the Software not in accordance with the License Agreement is expressly prohibited by law.

WITHOUT LIMITING THE FOREGOING, You shall not modify, translate, adapt or create derivative works based on the SOFTWARE PRODUCT and such derivative work will be owned entirely by KALViCK. You shall not attempt to disable any protective device/program/security/licensing incorporated into the SOFTWARE PRODUCT. Any attempts to modify or modification will be deemed a breach of this EULA and is expressly prohibited by law and would result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

TERMINATION: This License shall be effective upon installation, copying or otherwise using of the Software and You may terminate this EULA at any time. KALViCK SHALL TERMINATE UPON THE EARLIER OF: (i) YOUR FAILURE TO COMPLY WITH ANY TERM OF THIS LICENSE; OR (ii) ANY OF YOUR OVERDUE/PENDING PAYMENTS IN FULL OR PART IN RELAVANT TO THE PURCHASE OF THE SUBJECTED SOFTWARE; OR (iii) RETURN, DESTRUCTION OR DELETION OF ALL COPIES OF THE SOFTWARE IN YOUR POSSESSION. KALViCK’s rights and your obligations shall survive the termination of this License. Upon termination by either party, all your rights to use the Software and Documentation will cease, and you will promptly destroy all copies of the Software. You shall certify in writing to KALViCK that all copies of the Software, or any portion thereof, have either been returned to KALViCK or otherwise destroyed or deleted from any of your computer libraries or storage devices. Such termination of this EULA will automatically terminate its Annual Technical Support Maintenance, if applicable and will not entitle you to a refund of any portion of the price paid for a SOFTWARE PRODUCT or its applicable Annual Technical Support Maintenance fees. Any attempts of unauthorised retention and/or unauthorised use of software breaching this EULA is expressly prohibited by law and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

LIABILITY: KALViCK’s liability under this warranty, expressed or implied, by reason of supplying the Products, or their use, shall not exceed the cost of correcting defects in the Products as expressed under warranty clause above. The foregoing constitutes KALViCK’s entire warranty, express, implied, or statutory with respect to any Product and states the full extent of KALViCK’s liability to Purchaser or any other Party for breach of warranty and for damages whether direct, special, tort, or consequential resulting from the purchase of KALViCK’s Products / Solutions / Services. KALViCK specifically disclaims the implied warranties of merchantability and fitness for a particular purpose You must read the license agreement and indicate your agreement to its terms prior to installing or using the software. All rights, title, and interest not expressly granted are reserved. The Software is made available for downloading solely for use by end users according to the License Agreement. Any reproduction or redistribution of the Software not in accordance with the License Agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible terms@kalvick.com.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED, UNLESS SUCH REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PERMITTED BY THE LICENSE AGREEMENT ACCOMPANYING SUCH SOFTWARE.

THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT. EXCEPT AS WARRANTED IN THE LICENSE AGREEMENT, KALViCK Technologies (KALViCK) HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

FOR YOUR CONVENIENCE, KALViCK MAY MAKE AVAILABLE ON THIS SERVICE OR IN ITS SOFTWARE PRODUCTS, TOOLS AND UTILITIES FOR USE AND/OR DOWNLOAD. KALViCK DOES NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY OF THE RESULTS OR OUTPUT THAT DERIVES FROM SUCH USE OF ANY SUCH TOOLS AND UTILITIES. PLEASE RESPECT THE INTELLECTUAL PROPERTY RIGHTS OF OTHERS WHEN USING THE TOOLS AND UTILITIES MADE AVAILABLE ON THIS SERVICE OR IN KALViCK SOFTWARE PRODUCTS.

These Terms of Use constitute the entire agreement between KALVICK and you with respect to your use of the KALViCK's Information, Products & Services. If for any reason a court of competent jurisdiction finds any provision of the Agreement or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the Agreement, and the remainder of the Terms of Use shall continue in full force and effect.
